Terms of Service: Consulting & Design
These Terms of Service are an integral part of and applicable to all consulting, design, and advisory services provided by Plants On Walls. By engaging our services, the Client consents to these Terms.
1. Scope of Consulting Services
Plants On Walls provides expert horticultural and system design guidance. Our services are advisory in nature. We do not provide construction, plumbing, electrical, or installation labor. Any design concepts, plant lists, or system specifications provided are recommendations based on professional experience and must be verified by the Client’s licensed contractors (e.g., architects, structural engineers, or plumbers) for site-specific safety and code compliance.
2. Limitation of Liability
Plants On Walls acts solely in a consulting capacity.
System Performance: We are not responsible for the ultimate health of plants or the mechanical performance of irrigation systems, as these factors depend on local environmental conditions and the quality of ongoing maintenance performed by third parties.
Property Damage: Plants On Walls is held harmless for any water damage, structural failure, or mold growth resulting from the implementation of our designs. It is the Client’s responsibility to ensure that all surfaces are protected by vapor barriers and drainage systems as recommended in the design phase.
Third-Party Contractors: We make no representations or warranties regarding the services of third-party installers or maintenance professionals hired by the Client.
3. Professional Fees & Estimates
Estimates: Consulting fees are estimated based on the project’s initial scope. If the project scope expands (e.g., additional meetings, site visits, or design revisions), Plants On Walls reserves the right to adjust the final fee.
Payment Terms: A non-refundable 50% deposit is required to commence consulting services. The remaining balance is due upon delivery of the final consulting report or design package.
Late Fees: Invoices unpaid after 15 days will accrue interest at 1.5% per month. The Client is responsible for all collection costs and legal fees.
4. Client Responsibilities
Permits & Compliance: The Client is solely responsible for obtaining all necessary building permits and ensuring designs meet local zoning and fire codes.
Maintenance: Successful living walls require professional horticultural care. The Client acknowledges that following the "Consulting Phase," they must hire qualified professionals for regular maintenance to ensure the longevity of the installation.
Implementation: Any deviations from the specifications provided by Plants On Walls during the installation phase are the sole responsibility of the Client and may void the efficacy of the design.
5. Intellectual Property
All design drawings, plant palettes, and system specifications provided during the consulting process are the intellectual property of Plants On Walls. They are licensed to the Client for use on the specific project for which they were created and may not be resold or reused for other projects without written consent.
6. Humidity and Environment
Living Walls naturally increase ambient humidity. Plants On Walls provides guidance on ventilation, but the Client is responsible for ensuring the HVAC system is capable of handling the increased moisture levels to prevent condensation or mold on nearby surfaces.
7. Termination
By Client: The Client may terminate the consulting agreement with three (3) days' written notice.
Fees Due: Upon termination, Plants On Walls shall retain the initial deposit and be entitled to payment for all hours worked and expenses incurred up to the date of termination.
