Terms of Service: Consulting & Design

These Terms of Service are an integral part of and applicable to all consulting, design, and advisory services provided by Build Botanic LLC, doing business as Plants on Walls (hereafter referred to as "the Company"). By engaging our services, signing an estimate, or issuing a deposit, the Client consents to these Terms.

1. Scope of Consulting Services

The Company provides expert horticultural, spatial layout, and vertical garden system design guidance. Our services are strictly advisory in nature.

  • The Company does not provide construction, plumbing, electrical, or physical installation labor.

  • Any design concepts, structural layouts, plant lists, or plumbing/irrigation system specifications provided are professional recommendations based on historical experience.

  • All recommendations must be independently verified and approved by the Client’s own licensed professionals (e.g., architects, structural engineers, or plumbers) for site-specific structural integrity, weight limits, and local building code compliance before installation begins.

2. Limitation of Liability

The Company acts solely in an advisory and consulting capacity. Under no circumstances shall the Company's liability exceed the total fee paid by the Client for the specific consulting phase in question.

  • System & Plant Performance: We are not responsible for the ultimate health or survival of plants, nor the mechanical performance of irrigation valves, timers, or pumps. These factors depend entirely on local environmental fluctuations, water quality, and the execution of ongoing maintenance by third parties.

  • Property & Water Damage: The Company is held entirely harmless for any water damage, structural failures, moisture intrusion, or mold growth resulting from the physical implementation of our design recommendations. It is the Client’s absolute responsibility to ensure that all walls and backing surfaces are protected by adequate vapor barriers, water-impermeable layers, and functioning drainage systems.

  • Third-Party Contractors: We make no representations, guarantees, or warranties regarding the skill, workmanship, or licensing of third-party installers, general contractors, or maintenance professionals hired by the Client to implement the design.

3. Professional Fees & Estimates

  • Estimates: Consulting fees are estimated based on the project’s initial scope. If the project scope expands (including but not limited to: additional meetings, unscheduled site visits, structural modifications, or major design revisions), the Company reserves the right to adjust the final fee via a written change order.

  • Payment Terms: A non-refundable 50% deposit is required to commence all consulting and design services. The remaining 50% balance is due immediately upon delivery of the final consulting report, design package, or specification sheets.

  • Late Fees: Invoices unpaid after fifteen (15) days from the invoice date will accrue interest at a rate of 1.5% per month (18% per annum). The Client shall be responsible for all corporate collection costs, reasonable attorney fees, and legal expenses incurred by the Company to secure payment.

4. Client Responsibilities

  • Permits & Compliance: The Client is solely responsible for obtaining all necessary municipal building permits, structural engineering approvals, and ensuring the final installation meets local zoning, ADA accessibility, and fire safety codes.

  • Maintenance Infrastructure: Successful living walls require dedicated professional horticultural care. The Client acknowledges that following the conclusion of the "Consulting Phase," they must contract qualified professionals for regular maintenance to protect the structural and aesthetic longevity of the installation.

  • Implementation Deviations: Any deviations, substitutions, or field alterations from the exact specifications provided by the Company during the physical installation phase are the sole risk and responsibility of the Client.

5. Intellectual Property

All original design drawings, CAD layouts, custom plant palettes, and proprietary system specifications provided during the consulting process remain the exclusive intellectual property of the Company. They are licensed to the Client for one-time use strictly on the specific project and physical address for which they were created. They may not be resold, duplicated, or reused for other properties or projects without express written corporate consent.

6. Humidity and Environment

Living walls naturally release moisture and increase ambient humidity via transpiration. While the Company provides baseline guidance on air movement and ventilation, the Client is exclusively responsible for ensuring that the building's HVAC system is fully capable of handling increased moisture levels to prevent condensation, rust, or mold on nearby ceilings, walls, or fixtures.

7. Termination

  • By Client: The Client may terminate the consulting agreement at any time with three (3) days' written notice to the Company.

  • Fees Due Upon Termination: Upon termination, the Company shall retain the initial 50% deposit and be legally entitled to full payment for all hours worked, design iterations produced, and expenses incurred up to the exact date of termination notice.
